1. Acceptance of Terms

By accessing or using the Solar Digital website (solardigital.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, clients, and anyone who accesses or uses our website or engages with us professionally.

2. Services

Solar Digital provides custom software development, UX/UI design, product consulting, and related technology services to businesses. The specific scope, deliverables, timeline, and pricing for any engagement are agreed separately in a written proposal or service agreement between Solar Digital and the client.

Nothing on this website constitutes a binding offer to provide services. All engagements begin only upon execution of a written agreement.

3. Use of the Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

  • Use the website in any way that violates applicable local, national, or international law.
  • Transmit any unsolicited or unauthorised advertising or promotional material.
  • Attempt to gain unauthorised access to any part of our website or its related systems.
  • Introduce viruses, trojans, or other malicious or technologically harmful material.
  • Scrape, crawl, or systematically extract data from the website without our written consent.

We reserve the right to restrict or terminate access to the website for any user who breaches these terms.

4. Intellectual Property

All content on this website — including text, design, graphics, code, logos, and case study materials — is the property of Solar Digital or its content licensors and is protected by applicable intellectual property laws.

You may view and print pages from the website for personal, non-commercial use only. You must not reproduce, distribute, modify, or create derivative works without our prior written consent.

Work product created for clients is governed by the intellectual property provisions of the applicable service agreement.

5. Client Engagements

When Solar Digital provides services to a client, the following general principles apply unless otherwise specified in the service agreement:

  • Ownership of deliverables — upon full payment, clients receive ownership of the custom work product created specifically for them.
  • Third-party components — open-source libraries, licensed assets, and standard tooling remain subject to their respective licences. Solar Digital will disclose the use of such components.
  • Confidentiality — both parties agree to keep confidential any non-public information shared during the engagement.
  • Revisions and scope — work outside the agreed scope will be estimated and agreed separately before proceeding.

6. Payment Terms

Payment terms for client engagements are set out in the relevant proposal or service agreement. Unless otherwise agreed:

  • Invoices are payable within 14 days of issue.
  • Late payments may incur interest at the applicable statutory rate.
  • Solar Digital reserves the right to pause work on any project where invoices are overdue by more than 14 days.

All prices are exclusive of VAT or applicable taxes unless stated otherwise.

7. Limitation of Liability

To the fullest extent permitted by law, Solar Digital shall not be liable for:

  • Any indirect, incidental, special, or consequential loss arising from your use of the website or our services.
  • Loss of data, revenue, profits, or business opportunity.
  • Any interruption or unavailability of the website.

Our total liability to any client in connection with a service engagement shall not exceed the total fees paid by that client in the three months preceding the claim.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Warranties and Disclaimers

The website and its content are provided "as is" without any warranty of any kind. We do not warrant that the website will be error-free, uninterrupted, or free of viruses.

10. Termination

We may suspend or terminate your access to the website at any time without notice if we believe you have breached these terms.

Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. Upon termination, the client shall pay for all work completed up to the termination date.

11. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
